Form D
Form D is the notice of exempt offering of securities that an issuer, including a private fund, must file with the SEC within 15 days of the first sale in an offering relying on Regulation D, disclosing the issuer, the exemption claimed, the amount sold and the total offering amount.

Example
A fund holds its first close on $12M of a targeted $50M. Within 15 days it files Form D showing $12M sold and $50M offered, which appears in the SEC's EDGAR database and is the first public record that the fund exists.
